These Terms & Conditions govern the use of Zaque's website and the engagement of Zaque's advisory services. By submitting a contact form, booking a service, or engaging in an advisory session, you agree to the terms set out below. Please read them carefully. These terms are governed by the laws of the Republic of Colombia.
1. Definitions
- "Zaque" refers to the business consulting firm operating under that name, with offices at Calle 100 #8-60, Bogotá, Colombia.
- "Services" refers to the advisory offerings described on our website: the First Steps Review, Build Companion, and Readiness Study.
- "Client" or "you" refers to the individual or company that engages Zaque for advisory services.
- "Session" refers to a scheduled advisory meeting, whether conducted in person or via video call.
- "Deliverable" refers to any written document produced by Zaque as part of a service (summaries, roadmaps, overviews).
- "Agreement" refers to these Terms & Conditions, together with any service-specific engagement letter or confirmation.
2. Acceptance of terms
By using our website or engaging our services, you confirm that you are at least 18 years of age, have the legal capacity to enter into contracts under Colombian law, and agree to be bound by these Terms. If you are engaging on behalf of a company, you confirm that you are authorized to bind that company.
3. Service description
Zaque provides independent business advisory services to early-stage founders and companies. The three services currently offered are:
- First Steps Review — a single advisory session with written summary ($122.000 COP)
- Build Companion — a three-month advisory arrangement with fortnightly sessions ($198.000 COP per month)
- Readiness Study — a four-week assessment with deliverable documents and rehearsal session ($310.000 COP)
Services are available to clients based in Colombia and, remotely, to clients outside Colombia at Zaque's discretion. We reserve the right to decline engagements where we identify a conflict of interest or where the nature of the request falls outside our scope.
4. Client responsibilities
To allow us to deliver our services effectively, you agree to:
- Provide accurate and complete information when requested
- Complete any pre-session questionnaire before the scheduled session
- Attend sessions at the agreed time or provide at least 48 hours' notice to reschedule
- Use deliverables only for the purposes for which they were produced
- Not share session summaries or other deliverables with third parties without Zaque's prior written consent, except as described in the service scope
5. Intellectual property
Deliverables produced by Zaque as part of an engagement are provided for the Client's internal use only. Zaque retains all intellectual property rights in the frameworks, methodologies, and approaches used in producing deliverables. Clients may not reproduce, sell, or license deliverables to third parties without Zaque's written permission.
Content on our website — including text, structure, and design — belongs to Zaque and may not be reproduced without permission.
6. Payment terms
Fees are as published on the website at the time of booking. All prices are in Colombian pesos (COP) and include applicable taxes. Payment is due before the first session (for the First Steps Review and Readiness Study) or at the start of each month (for the Build Companion). We accept bank transfer and payment platforms available in Colombia.
Cancellations: For the First Steps Review, cancellations made more than 48 hours before the session will receive a full refund. Cancellations with less than 48 hours' notice may not be refunded. For the Build Companion, the arrangement may be terminated by either party with 14 days' written notice; fees for sessions already completed are not refunded. For the Readiness Study, fees are non-refundable once the first session has taken place.
7. Confidentiality
Zaque treats all information shared during engagements as confidential. We do not share client information with third parties, other clients, or referral networks. We can formalize this commitment in a separate confidentiality agreement on request. Confidentiality obligations survive termination of the engagement.
By engaging our services, you also agree that the existence of the engagement and any general description of outcomes may be referenced by Zaque in aggregate, anonymized form (e.g., "we've worked with over 140 founders") unless you request otherwise in writing.
8. Disclaimers
Zaque provides independent advisory support — not legal, financial, accounting, or investment advice. Our services are intended to help founders think through their situations and make better-informed decisions. We do not represent that any specific outcome will follow from our advice. The responsibility for decisions remains with the client at all times.
Website content is provided for informational purposes. We make reasonable efforts to keep it accurate but cannot warrant that it is complete or current at all times.
9. Limitation of liability
To the fullest extent permitted under Colombian law, Zaque's liability for any claim arising from an engagement is limited to the fees paid for the service in question. We are not liable for indirect, consequential, or speculative losses, including lost revenue, lost investment opportunities, or reputational harm.
Neither party is liable for delays or failures caused by circumstances beyond their reasonable control (force majeure).
10. Indemnification
You agree to indemnify and hold Zaque harmless from any claims, losses, or liabilities arising from your misuse of deliverables, your breach of these Terms, or any misrepresentation you make during an engagement.
11. Termination
Either party may terminate an engagement by providing written notice. For ongoing arrangements (Build Companion), 14 days' notice is required. Upon termination, any deliverables already produced remain the Client's to use under the terms of Section 5. Zaque retains the right to terminate immediately if the Client engages in conduct that is fraudulent, abusive, or in material breach of these Terms.
12. Dispute resolution
These Terms are governed by the laws of Colombia. Disputes should first be addressed through direct communication between the parties. If a dispute cannot be resolved informally within 30 days of written notice, it may be submitted to the competent civil courts of Bogotá, Colombia, which shall have exclusive jurisdiction.
13. General provisions
- Entire agreement: These Terms, together with any engagement confirmation, constitute the full agreement between Zaque and the Client.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in effect.
- Waiver: Failure to enforce any provision does not constitute a waiver of future enforcement rights.
- Assignment: Clients may not assign their rights under these Terms without Zaque's prior written consent.
- Notices: Written notices may be sent by email; notices to Zaque should be addressed to [email protected].
14. Changes to these terms
We may update these Terms from time to time. The current version will always be available on this page. We will notify active clients of significant changes by email. Continued use of our services after changes take effect constitutes acceptance.
